NOTICE OF PUBLIC SALE
A default has occurred under the debt obligations secured by a Security Agreement (herein so called) dated February 3, 2017, by and between JACL, Ltd., as Debtor (herein so called), and Dawn Rochelle Shore, as secured party (herein so called), and pursuant to which Debtor granted to Secured Party a security interest against the personal property described as follows: (a) Debtor’s 88.9% undivided membership interest in S&D Longhorn Partners, LLC, a Texas limited liability company (the “Company”), as described in the Revised Operating Agreement of the Company (the “Company Agreement”) dated to be effective as of March 7, 2017, by and between Debtor and New Dawn Realty, LLC, together with all of Debtor’s other rights, title, and interest of every kind and character whatever in and to the Company under the Company Agreement; and (b) all of Debtor’s share of profits, distributions, income, and surplus from the Company and Debtor’s interest in specific properties of the Company on dissolution or otherwise. All of the foregoing described personal property is called, collectively, in this Notice the “Collateral.”
Pursuant to the Security Agreement and the Uniform Commercial Code, as adopted in Texas, Secured Party will sell the Collateral at public auction to the highest bidder for cash to satisfy the debt secured by the Security Agreement.
The sale will take place at the offices of GLAST, PHILLIPS & MURRAY, PC, 14801 Quorum Dr., Suite 500, Dallas, Texas 75254 at 10:00 a.m. on Monday, January 27, 2020.
